Удосконалення процесу комунікацій між суб'єктами корпоративного управління у процесі розробкиі прийняття рішень у багатопрофільних холдингах

Abstract

У статті наголошено, що у великих холдингових структурах існує як організаційна, так і територіальна віддаленість суб'єктів корпоративного управління, що значно ускладнює комунікації між ними у процесі розробки та експертизи прийняття рішень як операційного, так і стратегічного характеру. Відзначено, що шляхи вирішення проблеми низької ефективності комунікаційної взаємодії топ-менеджерів різних рівнів у складі холдингу можуть бути різними та мати свої особливості залежно від типу холдингу. Розглянуто розглянуто особливості побудови комунікацій в системі корпоративного управління на прикладі холдингу за участю іноземного інвестора. Описано специфіку функціонування холдингу за участю іноземного інвестора. Запропоновано дати можливість менеджменту іноземного інвестора (або певній його частині) приймати участь в аналізі ініціацій варіантів прийняття рішень ще на етапі їх обговорення. Сформульовано етапи досягнення мети забезпечення відповідності процесу комунікації між менеджментом компанії іноземного інвестора та українських субопераційних компаній. Запропоновано низку заходів, що дозволяють полегшити процес комунікаційної взаємодії між учасниками корпоративного управління як менеджменту вітчизняних субопераційних компаній, так і менеджерів компанії іноземного інвестора. Запропоновано варіанти залучення менеджменту компанії іноземного інвестора у процес розробки, аналізу та прийняття рішень: 1) просте інформування; 2) залучення до аналізу рішень; 3) інформування зі зворотною реакцією. Запропоновано ввести позицію координатора процесу комунікацій з числа менеджерів компанії іноземного інвестора для удосконалення процесу оформлення документів при розробці внутрішніх комунікацій. Охарактеризовано права координатора. Наведено модулі бізнес-процесів у комунікаціях між українським менеджментом та менеджментом компанії іноземного інвестора. The article emphasizes that in large holding structures there is both organizational and territorial remoteness of corporate governance entities, which significantly complicates communication between them in the process of development and examination of decision-making, both operational and strategic. Despite the era of digital technologies and the possibility of interaction of participants in corporate relations with each other through electronic means of communication, without a developed and effective mechanism of such communication interaction, video participation itself will be less productive. It is emphasized that the ways to solve the problem of low efficiency of communication interaction of top managers of different levels in the holding may be different and have their own characteristics depending on the type of holding. However, in any case, it makes sense to involve the management of the holding in the process of generating and discussing decisions. Within the limits of the given research features of construction of communications in system of corporate management on an example of holding with participation of the foreign investor are considered. The specifics of the holding's operation with the participation of a foreign investor are described. It is proposed to enable the management of a foreign investor (or a certain part of it) to participate in the analysis of the initiations of decision-making options at the stage of their discussion. Two stages of achieving the goal of ensuring compliance of the communication process between the management of a foreign investor and Ukrainian suboperating companies are formulated: first, ensuring full awareness of the management of a foreign investor's decisionmaking and compliance with the principles of continuity and transparency; secondly, ensuring the participation of managers of foreign investors in the discussion and examination of decisions. To this end, the article proposes a number of measures to facilitate the process of communication between participants in corporate governance of both management of domestic suboperating companies and managers of foreign investors: establish regular meetings of the management of the foreign investor's company and the management of Ukrainian operating companies; to develop a classification of decisions made within the holding, and on its basis to determine the list of possible classifications of communications in the decision-making process; to develop business processes of the specified communications. Options for involving the management of a foreign investor in the process of development, analysis and decision-making are proposed: 1) simple informing; 2) involvement in the analysis of decisions; 3) іnforming with feedback. It is proposed to introduce the position of the coordinator of the communications process from among the managers of the company of a foreign investor to improve the process of paperwork in the development of internal communications. The rights of the coordinator are described. Modules of business processes in communications between the Ukrainian management and the management of the company of a foreign investor are given.
